in the afternoon of may 25 2017, shanghai dazhong public utilities (group) co., ltd. held its first meeting of the 10th session of board of directors, which all directors, supervisors and senior management attended, and chaired by the chairman mr. yang guoping. the following proposals were passed:
1、mr. yang guoping is elected the company’s chairman of the 10th session of board of directors.
2、mr. liang jiawei is appointed as the company’s president.
3、mr. zhuang jianhao, mr. yang weibiao and mr. jin bo are appointed as the company’s vice presidents.
4、mr. zhao ruijun is appointed as the company’s vice cfo (in charge of work).
5、mr. jin bo is appointed as the secretary of the 10th session of board of directors.
6、mr. cao jing is appointed as the authorized representative of the 10th session of board of directors for securities affairs.
7、the 10th session of board of directors sets up the remuneration and appraisal commission, consisting of: wang kaiguo, yang guoping and andrew yao, of whom wang kaiguo is the chief; yu min acts as the executive secretary.
8、the 10th session of board of directors sets up the audit commission, consisting of: wang hongxiang, andrew yao and chow siu lui, of whom wang hongxiang is the chief; cao jing acts as the executive secretary.
9、the 10th session of board of directors sets up the nomination commission, consisting of: andrew yao, yang guoping and liu zhengdong, of whom andrew yao is the chief; yu min acts as the executive secretary.
the term of office of the above persons ends when the 10th session of board of directors expires.
the meeting also passed a series of proposals regarding related-party business, private placement of corporate bonds, the holding of 2017’s first extraordinary shareholders’ meeting etc.
previously, mr. yang jicai was elected the chairman of the 10th supervisory board during the first meeting of the supervisory board.
